Boaz Weinstein's Saba Capital Just Took a 5% Stake in a Little-Known Closed-End Fund
Some activist campaigns start with a splashy letter. This one started with a quiet regulatory filing about a fund most investors have never heard of. Saba Capital Management, the hedge fund firm run by Boaz Weinstein, now owns 5.04% of Virtus Total Return Fund. That's 2,519,703 shares out of 49,993,603 outstanding, according to a Schedule 13D filing. A Schedule 13D is the form an investor files after crossing 5% of a company or fund when it isn't planning to sit quietly on the sidelines. Crossing that line is what made this public. The filing was made jointly by Saba Capital Management, its general partner and Weinstein himself. It says the money came from investor subscriptions, capital appreciation and margin borrowings used in the ordinary course of business. The triggering date was September 28, and the filing landed on September 30. Saba says it paid about $16.4 million for the shares, which works out to roughly $6.53 each by our math. The 5.04% figure uses the share count the fund reported as of May 31, 2026 in its semiannual report. That puts Saba just barely over the 5% line. The trade schedule tells the better story. In early and mid September, Saba actually sold about 16,800 shares at prices between $6.53 and $6.76. Then it flipped. On five separate days between September 21 and September 28, it bought about 121,000 shares as the price slid from $6.21 to $5.96. That's a fund manager leaning in while the price fell. Not exactly subtle. Why care about a fund this small? The wording of the filing hints at the answer. Virtus Total Return Fund is a closed-end fund. It holds a basket of investments, but its own shares trade on the market and can sell for less than that basket is worth. That gap is called a discount to net asset value, or NAV. Saba's filing says it believes the shares are undervalued. It also lists that discount to NAV as something it may discuss with the board, along with buybacks, tender offers and even the timing of a potential liquidation. To be clear, those are things Saba says it may do. The filing doesn't announce a specific demand or a slate of nominees. What It Means for YouClosed-end funds are one corner of the market where price and value can drift apart on their own. When a fund trades below what its holdings are worth, an activist sees a gap it might try to close. If you own a closed-end fund, it helps to know that a 5% holder with an agenda can influence what the fund does, from share repurchases to who manages it. It's also a small lesson in reading a 13D. The dates, the purchase prices and the "may" language tell you more than any headline will. |
