October 14th

Greetings, Friend!

Four weeks ago, we told you about a company lining up a 30-year perimeter security specialist.

Since then, the story has moved to the ground.

VisionWave Holdings, Inc. (Nasdaq: VWAV) has countersigned and accepted a purchase order for 200 STRATUM VARAN heavy wheeled unmanned ground vehicles. The order carries an aggregate base price of $20Mn.

The fine print matters here.

The buyer is Metal Machinery Components Trading FZCO, a Dubai-registered trading company. It is not the end user.

Production, deliveries, and a planned $2Mn advance payment all depend on conditions that had not been met when the order was announced on September 24th.

If those conditions clear, the order calls for three delivery batches over 36 months: 70 vehicles, then 70, then 60. VisionWave has not counted the order as revenue or backlog.

The share structure has also changed. VWAV completed a 1-for-20 reverse split effective September 22nd.

At this moment, Yahoo Finance is reporting a float of fewer than 1Mn shares.

Inside The Boardroom

When the order landed, VWAV CEO and Executive Chairman Douglas Davis called it “an important commercial validation for the STRATUM VARAN platform.”

He added that the team is working with the customer to satisfy the funding, security, and regulatory conditions that must be met before production can begin.

Less than two weeks later, Davis laid out his counter-drone thinking: “Our strategy is to build beyond the interceptor itself.”

In his view, detection, classification, decision support, autonomous platforms, and effectors all need to work as one system.

The same update disclosed two developments:

#1. VWAV has submitted proposals in response to U.S. Government counter-UAS solicitations, though no a-ward has been made.

#2. It is also in preliminary, non-binding talks with a European defense ministry about a potential counter-UAS interceptor trial.

The Dual-Use Pivot

VisionWave is not relying on a single vehicle. Its STRATUM architecture is a family of modular unmanned ground platforms: VARAN, RANGER, SCOUT and RECON.

The idea is that the vehicle stays the same while the mission module changes.

VARAN’s design targets include roughly 500 kilograms of payload capacity, towing above 1,000 kilograms, a top speed near 70 km/h, and about four hours of mission time, extendable to 28 hours depending on configuration. The company notes these are design objectives that testing has not yet validated.

On the commercial side, Solar Drone, a wholly owned subsidiary, added distribution in Italy and Spain along with a follow-on hardware order from an existing European client.

The same overview cites a signed purchase order received April 2nd, 2026, from a Latin American public safety organization for drone-based operational systems, which the company describes as its first commercial homeland security order.

In the air, VWAV’s October 5th update outlined the TALON family:

  • TALON 10 for tactical ISR
  • TALON HEAVY LIFT 40 for aerial logistics
  • TALON 10 STRIKE, TALON GUARDIAN and TALON SHOOTER
  • D-FLY interceptor and counter-UAS concepts

The goal is to task ground and aerial assets through one mission picture and one operator control architecture. All of these programs remain in development.

Company Breakdown: VisionWave Holdings, Inc.

VisionWave develops RF sensing, AI autonomy and computational acceleration technologies for unmanned ground, air and sea vehicles.

In its September strategy update, the company grouped these programs into Platforms, Payloads and Intelligence, backed by 21 issued patents and 9 pending applications, while noting that substantially all of these technologies remain in development.

Two deals are still in motion. The D-Fence term sheet set a closing date no later than October 15th, 2026, which can be extended by mutual consent to October 31st. Closing remains subject to due diligence, a definitive agreement and approvals. The 51% CM Israel acquisition also remains pending.

Sector Pulse: Two Demand Curves

Defense budgets form the first curve.

There are projections that global defense spending will top $2.6Tn in 2026, and it names counter-drone technology, border security and critical infrastructure protection among its addressable segments.

Ground autonomy is the second curve.

MarketsandMarkets estimates the unmanned ground vehicle market at $3.8Bn in 2025 and projects $9.9Bn by 2036, with defense holding the largest revenue share and Asia Pacific expected to grow fastest.

Counter-drone systems are the sharpest edge of that spending.

MarketsandMarkets projects the C-UAS market will grow from $6.64Bn in 2025 to $20.31Bn by 2030, a 25.1% compound annual growth rate, and identifies North America as the fastest-growing region.

Perimeter protection with counter-drone capability, the D-Fence specialty, maps directly onto that trend.

6 Potential Catalysts Sending (Nasdaq: VWAV) To THe Top Of Our Watchlist

#1. A Conditional $20Mn Order For 200 Unmanned Ground Vehicles. If the funding, export and compliance conditions are satisfied, the VARAN order would give VWAV a multi-year delivery schedule for its flagship ground platform.

#2. An Ultra Low Float Profile Under 900K Shares. With Yahoo Finance reporting a float of approx. 876.73K shares at the time of this writing, VWAV qualifies as a low float idea, and the potential for heightened volatility may be significant.

#3. A D-Fence Closing Window Arriving This Month. The term sheet targets a closing by October 15th, extendable to October 31st, which would add AI-enabled perimeter security to the VWAV platform if completed.

#4. Counter-UAS Proposals Submitted To The U.S. Government. Pending solicitation responses, plus early talks with a European defense ministry, put VWAV in active pursuit of counter-drone programs.

#5. One Modular Chassis Built For Many Missions. STRATUM’s design lets VWAV potentially offer ISR, logistics, sensing and counter-UAS modules on a common platform.

#6. Counter-UAS Spending Projected To Reach $20.31Bn By 2030. That projected growth places the D-FLY interceptor and planned D-Fence capabilities of VWAV in a fast-moving segment.

Final Pulse Check

The picture is getting sharper.

VisionWave now has a conditional ground vehicle order, a modular ground platform, a counter-UAS proposal pipeline and a pending perimeter security deal, all aimed at the same demand curve.

The milestones to watch are clear: progress on the order’s conditions, the D-Fence closing window, and any word on U.S. or European counter-UAS a-wards.

Keep VisionWave Holdings, Inc. (Nasdaq: VWAV) on your radar and review the company’s filings as those milestones approach.

More updates coming your way soon. Talk again in a little bit.

All the best,
